Terms and Conditions for Good Neighbor

1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of:

The Good Neighbor Day America website, including goodneighbordayamerica.com
The Good Neighbor web application
The Good Neighbor mobile application available through the Apple App Store and Google Play Store

(collectively, the “Services”).

The Services are operated by Good Neighbor Tech, Inc., together with affiliated initiatives including Good Neighbor Day America (“Good Neighbor,” “we,” “our,” or “us”).

By accessing, browsing, registering for, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services.
If you are between 13 and 18, you may only use the Services with the consent and supervision of a parent or legal guardian.

By using the Services, you represent and warrant that you meet these requirements and have the authority to agree to these Terms.

3. Account Registration & Security

To access certain features, you may be required to create an account.

You agree to:

Provide accurate, current, and complete information
Maintain the confidentiality of your login credentials
Accept responsibility for all activities under your account
Notify us immediately of unauthorized access or use

We reserve the right to suspend or terminate accounts that violate these Terms or pose risk to the community or platform.

4. Acceptable Use

You agree to use the Services only for lawful, appropriate purposes.

You agree not to:

Violate any applicable law or regulation
Harass, threaten, intimidate, or harm others
Post false, misleading, or fraudulent content
Impersonate another person or organization
Share personal information of others without consent
Send spam, advertisements, or unsolicited messages
Upload malware, viruses, or harmful code
Attempt unauthorized access to systems or data
Use automated scraping or bots without permission
Post hate speech, discriminatory, or abusive content
Post sexually explicit content or content involving minors
Infringe intellectual property or privacy rights
Interfere with platform functionality or security

5. User Content

Your Content

You retain ownership of content you submit to the Services (“User Content”).

By submitting User Content, you grant Good Neighbor a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, reproduce, modify, display, distribute, and publish such content in connection with operating, promoting, and improving the Services and Good Neighbor Day America campaigns.

You represent that you have all rights necessary to submit your content and that it does not violate these Terms or applicable law.

You are solely responsible for your User Content.

Prohibited Content

You may not submit content that:

Is unlawful, harmful, or deceptive
Contains hate speech, threats, or harassment
Is sexually explicit or exploits minors
Infringes intellectual property rights
Contains private or confidential information of others
Is spam, solicitation, or commercial advertising without permission
Promotes illegal or dangerous activity

Content Moderation

We reserve the right (but have no obligation) to:

Monitor, review, edit, or remove User Content
Suspend or terminate accounts for violations

Removal of content does not waive our right to take further action. We are not responsible for user-generated content.

6. Intellectual Property

Our Rights

The Services, including software, design, text, graphics, logos, trademarks, and content, are owned by or licensed to Good Neighbor and protected by intellectual property laws.

You may not:

Copy, modify, or create derivative works
Reverse engineer or extract source code
Remove proprietary notices
Use Good Neighbor trademarks without permission

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

7. Community Standards

Good Neighbor exists to support positive civic engagement and service. You agree to:

Act respectfully and responsibly
Communicate honestly
Respect privacy and boundaries
Resolve disputes constructively
Report violations of these Terms

8. Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect and use information.

9. Fees & Payments

Some features may be free or paid.

If applicable:

Fees will be disclosed before purchase
Payments are non-refundable unless required by law
Subscriptions may auto-renew unless canceled
Pricing may change with notice

You authorize us to charge your selected payment method.

10. Termination

By You

You may terminate your account at any time through account settings or by contacting us.

By Us

We may suspend or terminate access if you:

Violate these Terms
Engage in unlawful or harmful behavior
Create legal or operational risk

We may also discontinue any part of the Services at our discretion with reasonable notice.

Effect of Termination

Upon termination:

Your right to use the Services ceases
Your account and content may be deleted
Provisions that should survive termination will remain in effect

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

We disclaim all warranties, express or implied, including:

Merchantability
Fitness for a particular purpose
Accuracy or reliability
Availability, security, or error-free operation

We do not guarantee that:

The Services will meet your requirements
Errors will be corrected
Content is accurate or reliable

12. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, consequential, punitive, or special damages
Our total liability will not exceed the greater of $100 or the amount you paid us in the past 12 months
We are not liable for user content or conduct of others

Some jurisdictions do not allow certain limitations, so some may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Good Neighbor and its affiliates from any claims, losses, damages, liabilities, and expenses arising from:

Your use of the Services
Your violation of these Terms
Your User Content
Your violation of others’ rights

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the state where the applicable Serve Event occurs or, if none, the State of California, without regard to conflict-of-law rules.

Arbitration

Except where prohibited by law, disputes shall be resolved by binding arbitration, not court, except:

Small claims matters
Intellectual property disputes
Requests for injunctive relief

You waive the right to a jury trial and class actions.

15. General Provisions

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement
Modifications: We may update these Terms with notice
Severability: Invalid provisions do not affect others
Waiver: Failure to enforce is not a waiver
Assignment: You may not assign; we may
Force Majeure: We are not liable for events beyond our control
No Agency: No partnership or joint venture is created

16. Third-Party Services

The Services may integrate with third-party tools or platforms. We are not responsible for their content or practices.

17. Mobile Platform Terms

Apple App Store

You acknowledge:

These Terms are between you and Good Neighbor, not Apple
Apple has no maintenance obligation
Apple is a third-party beneficiary

Google Play

Your use is also subject to Google Play’s terms. Google is not responsible for the Services.
